1. Acceptance of Terms

2. Scope of Services

BrandReachFlow provides web design, UI/UX design, visual branding, e-commerce development, and digital strategy services. The specific scope, deliverables, timeline, and pricing for each project will be defined in a separate project proposal or statement of work agreed upon by both parties.

3. Project Proposals & Payment

• All project proposals are valid for 30 days from the date of issue
• Payment terms: 50% upfront upon project initiation, 50% upon final delivery
• Invoices are payable within 14 days of issue date
• Late payments incur a 2% monthly surcharge on the outstanding balance
• All prices are exclusive of applicable taxes (VAT)

4. Intellectual Property

Upon full payment, all deliverables including designs, code, and creative assets become the intellectual property of the Client. BrandReachFlow retains the right to display completed work in its portfolio and marketing materials unless otherwise agreed in writing.

5. Revisions & Change Requests

Each project proposal includes a defined number of revision rounds. Additional revisions beyond the agreed scope will be billed at €75/hour. Change requests that significantly alter the project scope will require a new proposal and separate agreement.

6. Project Timeline & Delays

Timelines provided in project proposals are estimates. Delays caused by the Client (late feedback, delayed content delivery, scope changes) will result in corresponding timeline adjustments. BrandReachFlow will communicate any delays promptly and propose adjusted timelines.

7. Limitation of Liability

BrandReachFlow's total liability shall not exceed the total fees paid by the Client for the specific project giving rise to the claim. BrandReachFlow shall not be liable for indirect, incidental, consequential, or punitive damages.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the project. This obligation survives the termination of the agreement for a period of 24 months.

9. Termination

Either party may terminate the agreement with 14 days written notice. Upon termination, the Client shall pay for all work completed up to the termination date. Work product delivered prior to termination remains subject to full payment.

10. Governing Law

These Terms of Service are governed by the laws of the Republic of Italy. Any disputes shall be resolved through the competent courts of Cuneo, Italy.

• Domain registration fees already paid to registrars
• Third-party software licenses procured on the Client's behalf
• Work completed and approved during the project lifecycle
• Consultation fees for advisory services already rendered

7. Dispute Resolution

In the event of a refund dispute, both parties agree to attempt resolution through direct communication before pursuing any external remedies. Unresolved disputes shall be subject to the jurisdiction of the courts of Cuneo, Italy.
